Coverage Highlights:

  • Affirmative, full limit coverage for anti-trust claims
  • Coverage extends to regulatory investigations and pre-claim inquiries – may be subject to sublimit
  • No acquisition threshold for mid-term acquisitions
  • “Other insurance” section structured to respond as primary over sponsor/investor GPL policies
  • Pre-set run-off options for up to six years with guaranteed pricing
  • To deny claims for late reporting the carriers must show they were prejudiced by the late reporting

Defense

  • Optional duty to defend provision
  • Defense is on a reimbursement basis with the option to tender defense with 60 days of noticing the claim – when tendered, 100% defense cost allocation provided
  • Affirmative coverage for defense costs for:
    • Breach of Contract claims in the D&O
    • Certain IP-related claims subject to sublimit

Exclusions

  • Exclusions for Side A are limited to Conduct, Prior Notice, and Prior Litigation – closely resembling a typical Side A DIC policy
  • Refined “Insured vs. Insured” exclusion to “Entity vs. Insured”
  • No bump-up exclusion
  • Numerous exclusions softened with “for” wording

Submission Requirements

For new transactions/portfolio companies

  • Completed new business application (can be any standard application)
  • Financial model to include pro-forma P&L and projected opening balance sheet (with new capital structure and any goodwill reflected)
  • Projected ownership/cap table with corresponding board representation noted for major shareholders
  • Investor deck/PPM if available
  • Name of Private Capital Sponsor (i.e. the institution/PE/VC/Family Office/Independent Sponsor)

For existing portfolio companies upon renewal

  • Completed renewal application (can be incumbent application)
  • Annual financials including most recent audit if available and current interims
